These general terms and conditions apply to all quotations, assignments and agreements of Vitrion B.V. (Chamber of Commerce 85504289), hereinafter "Vitrion", with its clients. The Dutch version of these terms is leading.

1. Applicability
- These terms apply to every quotation and agreement under which Vitrion provides services, such as designing, developing, hosting and maintaining software.
- Deviations only apply if agreed in writing.
- General terms and conditions of the client do not apply, unless Vitrion agrees to them in writing.

2. Quotations and formation
- Quotations are without obligation and valid for thirty days, unless stated otherwise.
- An agreement is formed when the client accepts the quotation in writing or by email, or when Vitrion starts the work at the client's request.

3. Execution
- Vitrion carries out the assignment to the best of its knowledge and ability, in accordance with good workmanship. This is a best-efforts obligation, unless a result has been explicitly agreed.
- The client provides all information, access and cooperation needed for the work in good time.
- Stated deadlines are target dates, unless a strict deadline has been explicitly agreed in writing.

4. Additional work
Changes or extensions to the assignment after the agreement has been made count as additional work. Vitrion discusses additional work in advance and charges it at the agreed rates.

5. Prices and payment
- All prices are in euros and exclusive of VAT.
- Invoices are paid within fourteen days of the invoice date, unless agreed otherwise.
- In case of late payment, the client owes the statutory commercial interest and reasonable collection costs.
- Vitrion may index recurring rates, such as for hosting and maintenance, annually. Vitrion announces a change in advance.

6. Intellectual property
- After full payment, the client obtains the intellectual property rights to the software Vitrion has developed specifically for the client, unless agreed otherwise in writing.
- Rights to standard components, libraries, Vitrion's own tools and open source software remain with Vitrion or the respective rights holders. The client receives a right of use for these as far as needed to use the delivered software.

7. Hosting and maintenance
- For hosting and maintenance, Vitrion makes every effort to ensure good availability, but does not guarantee uninterrupted operation.
- Vitrion announces planned maintenance in advance where possible.
- A hosting or maintenance agreement applies for the agreed period and is then tacitly renewed, unless either party terminates it with one month's notice.

8. Liability
- Vitrion's liability is limited to direct damage and to at most the amount paid out by its insurance in the case concerned, or, if the insurance does not pay out, to the invoice amount of the assignment over the last three months.
- Vitrion is not liable for indirect damage, including consequential damage, lost profits and loss of data.
- These limitations do not apply in case of intent or deliberate recklessness on Vitrion's part.

9. Confidentiality
Both parties keep confidential information they receive from each other secret, also after the agreement has ended.

10. Personal data
If Vitrion processes personal data on behalf of the client, the parties enter into a data processing agreement.

11. Applicable law
Dutch law applies to these terms and all agreements. Disputes are submitted to the competent court in the district of Noord-Nederland.
